**When Formation Is Required** New trucking businesses must have a legal entity established before registering with FMCSA. Sole proprietors can obtain a USDOT number, but operating as an LLC provides personal liability protection and is strongly recommended for commercial operations.
**When Reinstatement Is Required** An LLC that has been administratively dissolved or suspended by the state must be reinstated before it can legally operate, renew registrations, or apply for authority. Operating under a dissolved LLC can create personal liability exposure.
